Not worth the money as simple as that.

In the order of 5 - 7k when I last looked at it.

You need new sub frames for a start.
 
I think the answer depends really...

What do you want? If you want a Mk2 then go and buy one - it's not worth the effort to in effect evolve a Mk1 into a Mk2.

If you want something as a base for more work then either car will be ok so you could view the Mk1 saaving over the Mk2 as representing money in the pot for development work.

It's also worth bearing in mind that whilst there are quantative improvements in the Mk2 over the Mk1 it does not neccessarily represent the pinnacle of what's achievable with these cars - ask MikeT for example.
 
Also depends where you can get your parts from and how much.
Mike and I have pretty much done this and gone beyond.
Rear Subframe, longer suspension trailing arms, wider front track, better shocks.
Quite a few have now taken standard MK1 and Mk2 engines well onto 300bhp and beyond.
Mk2 interior is nicer but I presume it is a performance/ handling gain that is sought.

We were able to source ex TWR development parts at a fraction of the cost of buying from Renault, Quite a few Cars being broken nowadays could also provide cheap parts.
